Welcome to the website of RPI Solutions LLC ("Company," "we," "us," or "our"). By accessing this website, purchasing any services, or entering into any agreement with us, you agree to be bound by the following Terms & Conditions.
If you do not agree to these terms, you must discontinue use of this website and our services.
1. Company Services
RPI Solutions LLC provides professional digital services, including, but not limited to:

- •Managed enterprise software solutions
- •Digital marketing services and automation
- •Hosting, domain management, security, optimization, and technical support
- •Consulting and digital infrastructure services
All services are governed by these Terms & Conditions and any accompanying invoices, proposals, service plans, or written agreements.
2. Website, Platform Ownership & Access License
2.1 Platform & Website Ownership
All websites, platforms, digital properties, software systems, templates, frameworks, automation tools, marketing systems, and infrastructure created, deployed, or managed by RPI Solutions LLC remain the sole and exclusive property of RPI Solutions LLC, unless otherwise agreed to in a separate written contract.
Client is granted a limited, non-exclusive, non-transferable license to access and use the website and related systems for lawful business operations only for the duration of an active service agreement.
2.2 Access-Based Usage Model
Client access to websites, webmaster services, enterprise systems, digital marketing tools, and managed infrastructure is provided strictly as part of an active service relationship.
All access rights terminate immediately upon cancellation, non-payment, or expiration of the service agreement.
2.3 Digital Marketing Services License
Webmaster services and managed services include access to digital marketing platforms, campaigns, automations, workflows, analytics systems, and content frameworks for the life of the active service agreement only.
No ownership of such systems, processes, data models, automations, intellectual property, or marketing infrastructure transfers to Client.
3. Fees, Billing & Payments
3.1 One-Time & Subscription Fees
Fees may include one-time setup or build fees and ongoing subscription charges.
All invoices must be paid in full according to the terms stated on the invoice.
3.2 Subscription Billing
Subscriptions renew automatically every 30 days unless canceled in accordance with Section 4.
3.3 Non-Refundable Policy
All payments are final and non-refundable once services commence or access is granted.
3.4 Late Payments & Suspension
Invoices unpaid more than 5 days past due may result in immediate service suspension without notice.
3.5 No Asset Transfer on Termination
Upon termination for any reason, all licensed access to websites, digital platforms, marketing systems, managed software environments, and infrastructure immediately ceases.
No files, data, system architecture, automation logic, or platform components are transferred unless expressly agreed in writing.
4. Subscription Cancellation & Termination
Subscriptions may be canceled by Client with 30 days written notice.
Client remains responsible for all charges incurred during the notice period.
5. Client Responsibilities
Client represents and warrants that all content provided is lawful, properly licensed, and non-infringing.
Client shall not use Company services for illegal, deceptive, abusive, or harmful activities.
6. Limitation of Liability
RPI Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or data loss.
Total liability shall not exceed the fees paid by Client to RPI Solutions LLC during the preceding 90 days.
7. Indemnification
Client agrees to indemnify and hold harmless RPI Solutions LLC from all claims, damages, liabilities, costs, and expenses arising from Client's use of services, business operations, or violation of these Terms.
8. Service Suspension & Termination
RPI Solutions LLC may suspend or terminate services immediately for non-payment, policy violations, illegal activity, abuse, or misconduct toward staff.
Upon termination or suspension, all Client access to managed websites, hosting environments, enterprise systems, digital marketing services, and infrastructure is revoked.
9. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Wyoming.
All disputes shall be resolved exclusively through binding arbitration.
10. Privacy Policy
Use of this website is also governed by our Privacy Policy.
11. Modifications
RPI Solutions LLC reserves the right to modify these Terms & Conditions at any time.
Continued use of the website or services constitutes acceptance of any updated terms.
